Definitions
"Platform" means the Limware web application, APIs, and any associated mobile applications.
"Subscriber" means the laboratory owner, pathology practice, or organisation that creates an account and accepts these Terms.
"Users" means individuals authorised by the Subscriber to access the Platform — including lab technicians, pathologists, administrators, and billing staff.
"Laboratory Data" means all patient records, test results, sample information, reports, and other data entered into the Platform by the Subscriber or its Users.
Account registration and eligibility
You must be at least 18 years of age and legally authorised to bind your organisation to these Terms in order to register for an account.
You agree to provide accurate, current, and complete information during registration and to keep that information updated.
You are responsible for maintaining the confidentiality of your login credentials. You must notify us promptly if you suspect any unauthorised access to your account.
One Subscriber account may manage multiple laboratory branches. Each branch is considered a single "laboratory" for the purposes of your subscription plan.
Subscription and payment
Limware is offered on a subscription basis. Current plans and what each includes are listed on our pricing page, and are subject to change with 30 days' prior notice.
Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
All fees are non-refundable except where required by applicable law or expressly stated in your order.
Failure to pay may result in suspension or termination of your account after a 7-day grace period.
Acceptable use
You agree to use the Platform solely for lawful laboratory management purposes. You must not:
- Enter false or fabricated patient or test result data.
- Attempt to reverse-engineer, decompile, or extract the Platform's source code.
- Use the Platform to store or transmit malicious software.
- Circumvent any security or access control mechanisms.
- Sublicense, resell, or commercially exploit the Platform without our prior written consent.
- Use automated scripts or bots to access the Platform in a manner that disrupts service for others.
Data ownership and privacy
You retain full ownership of all Laboratory Data you input into the Platform. We do not claim any intellectual property rights over your data.
We process Laboratory Data solely to provide the Platform services and as described in our Privacy Policy. We will never sell your data to third parties.
You are responsible for ensuring that your collection and use of patient data complies with all applicable laws, including the Pakistan Electronic Crimes Act 2016 and any applicable health data regulations.
Upon termination of your subscription, we will retain your data for 30 days during which you may request an export. After this period, data may be permanently deleted.
Confidentiality
Each party agrees to keep confidential the other's non-public information disclosed in connection with these Terms, and to use such information only to fulfil obligations under these Terms.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.
Service availability
We target 99.5% monthly uptime for the Platform, excluding scheduled maintenance windows which we will announce at least 24 hours in advance where possible.
We are not liable for outages caused by factors outside our reasonable control, including internet infrastructure failures, force majeure events, or third-party service disruptions.
Intellectual property
The Platform, including its design, code, trademarks, and documentation, is the exclusive intellectual property of Limware Technologies. These Terms do not grant you any rights to our intellectual property other than a limited licence to use the Platform as described herein.
Any feedback, suggestions, or ideas you provide to us may be used by us without obligation or compensation to you.
Limitation of liability
To the maximum extent permitted by applicable law, Limware Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits our liability for fraud, gross negligence, or wilful misconduct.
Termination
Either party may terminate these Terms upon 30 days' written notice. We may suspend or terminate your access immediately if you materially breach these Terms and fail to remedy such breach within 7 days of written notice.
On termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including data ownership, confidentiality, and limitation of liability) shall continue to apply.
Modifications to these terms
We may update these Terms from time to time. We will notify you via email or an in-app notice at least 14 days before material changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
Governing law and disputes
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles.
Any disputes arising from these Terms shall first be subject to good-faith negotiation for 30 days. If unresolved, disputes shall be referred to the courts of Lahore, Punjab, Pakistan.
